This Contributor License Agreement (the "Agreement") specifies the terms under which you, the contributor, grant rights to the Copyright Holder (as defined below) for your contributions to the project. This Agreement is necessary to ensure the Copyright Holder has the necessary rights to distribute your contributions under the AGPL 3.0 license and manage the project effectively.
By clicking the "Sign CLA" button or by submitting a Pull Request to the Byline CMS project, you agree to the following terms and conditions:
- "You" (or "Your") refers to the copyright owner of the Contribution or the legal entity authorized to make the Contribution on behalf of the copyright owner. For legal entities, "Your" includes any entity that controls, is controlled by, or is under common control with You. For the purposes of this definition, "control" means (i) the power, direct or indirect, to cause the direction or management of such entity, whether by contract or otherwise, or (ii) ownership of fifty percent (50%) or more of the outstanding shares or beneficial ownership of such entity.
- "Contribution" means any work of authorship, including any original work of authorship and any modifications or additions to existing works, that is intentionally submitted by You to the Copyright Holder for inclusion in the Byline CMS project. For the purposes of this definition, "submitted" means any form of electronic, verbal, or written communication sent to the Copyright Holder or its representatives, including but not limited to communication on electronic mailing lists, source code control systems, and issue tracking systems that are managed by, or on behalf of, the Copyright Holder for the purpose of discussing and improving the Byline CMS project, but excluding communication that is conspicuously marked or otherwise designated in writing by You as "Not a Contribution."
- "Project" refers to the Byline CMS project hosted at
https://github.com/Byline-CMS/bylinecms.app. - "Copyright Holder" refers to Anthony Bouch and his successors-in-interest, including any legal entity to whom the copyright in the Project is lawfully assigned or transferred.
You hereby grant to the Copyright Holder a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works.
This license explicitly permits the Copyright Holder to distribute Your Contributions as part of the Byline CMS project under the terms of the GNU Affero General Public License Version 3.0 (AGPL-3.0-or-later), and to take any other actions necessary to ensure the project's continued development and distribution under the AGPL 3.0 license.
You hereby grant to the Copyright Holder a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Contribution, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution(s) alone or by combination of Your Contribution(s) with the Project to which such Contribution(s) was submitted.
If You institute patent litigation (including a cross-claim or counterclaim in a lawsuit) against any entity (including a cross-claim or counterclaim in a lawsuit) alleging that the Contribution or the Project (or any part thereof) constitutes direct or contributory patent infringement, then any patent licenses granted to You under this Agreement for that Contribution shall terminate as of the date such litigation is filed.
You represent and warrant that:
- You are legally entitled to grant the above licenses.
- Your Contribution is Your original creation, and You have not knowingly included any third-party code, text, or other material in Your Contribution that You are not authorized to license to the Copyright Holder under the terms of this Agreement.
- Your Contribution does not, to the best of Your knowledge, infringe upon any third-party intellectual property rights.
- You are not aware of any third-party claims or proceedings (including but not limited to copyright, patent, trademark, or trade secret claims) relating to the Contribution.
- You agree to notify the Copyright Holder of any facts or circumstances of which You become aware that might make these representations and warranties inaccurate in any respect.
YOU ARE NOT REQUIRED TO PROVIDE SUPPORT FOR YOUR CONTRIBUTION. HOWEVER, YOU MAY, AT YOUR OPTION, PROVIDE SUPPORT FOR YOUR CONTRIBUTION. UNLESS REQUIRED BY APPLICABLE LAW OR AGREED TO IN WRITING, THE CONTRIBUTION IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE COPYRIGHT HOLDER OR CONTRIBUTORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS CONTRIBUTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
- This Agreement is governed by the laws of the Kingdom of Thailand without regard to its conflict of law provisions.
- This Agreement constitutes the entire agreement between You and the Copyright Holder concerning Your Contributions and supersedes all prior agreements and understandings, whether written or oral.
- This Agreement may only be modified by a written amendment signed by both You and the Copyright Holder.
- This Agreement shall be binding upon and inure to the benefit of the parties and their respective heirs, successors, and assigns.
