# EventCatalog Contributor License Agreement (CLA)
Version 2.0 — 24 September 2026
Thank you for contributing to EventCatalog. This agreement explains the rights you give us when you contribute. You keep the copyright in your work. You give us a licence to use it, so that we can include it in EventCatalog and keep the project sustainable.
## 1. Definitions
- **"Licensor"**, **"we"**, **"us"**: EventCatalog Ltd, a company registered in England and Wales under company number 15764703, and its successors and assigns.
- **"You"** or **"Contributor"**: the individual or legal entity submitting a Contribution. If you contribute on behalf of an employer or other organisation, "You" includes that organisation.
- **"Contribution"**: any original work of authorship, including code, documentation, designs and other material, that you submit to the Project, for example through a pull request, patch, commit or documentation edit. Comments, bug reports and issues are not Contributions unless they contain material intended for inclusion in the Project.
- **"Project"**: the EventCatalog software, documentation and related materials owned or managed by the Licensor, in any repository or distribution.
## 2. Copyright licence
You grant the Licensor a perpetual, worldwide, non-exclusive, royalty-free, irrevocable and transferable licence to use, reproduce, modify, prepare derivative works of, publicly display, publicly perform, distribute and sublicense (through multiple tiers) your Contributions and any derivative works of them.
## 3. Patent licence
You grant the Licensor, and anyone who receives the Project from the Licensor, a perpetual, worldwide, non-exclusive, royalty-free, irrevocable and transferable licence under any patent claims you own or control, that are necessarily infringed by your Contribution alone or in combination with the Project, to make, have made, use, offer to sell, sell, import and otherwise transfer your Contribution and the Project.
## 4. Licensing of Contributions
The Licensor may license your Contributions, as part of the Project or otherwise, under any terms it chooses. These include open-source licences (such as the MIT License), source-available licences (such as the Business Source License) and commercial or proprietary licences.
The Licensor is not obliged to use your Contribution, or to include it in any release.
## 5. Your rights
You keep the copyright in your Contributions. Apart from the licences granted in this agreement, you may use your Contributions for any other purpose.
## 6. Moral rights
To the extent permitted by applicable law, you waive, and agree not to assert, any moral rights you have in your Contributions against the Licensor or against anyone who receives the Contributions from the Licensor.
## 7. Your representations
You confirm that:
- each Contribution is your original work, or you otherwise have the right to submit it under this agreement;
- if a Contribution includes material written by someone else, you have identified it in your submission, together with its licence;
- to the best of your knowledge, your Contribution does not infringe anyone else's intellectual property rights;
- if you are contributing on behalf of an employer or other organisation, you are authorised to bind it to this agreement, or it has waived any rights it has in your Contribution; and
- you are contributing voluntarily, with no expectation of payment.
You agree to tell us promptly if you become aware that any of these statements is no longer accurate.
## 8. No warranty
Unless you agree otherwise in writing, your Contributions are provided "as is", without warranties or conditions of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement or title.
## 9. Attribution
We may credit you as a contributor, but we are not obliged to.
## 10. Acceptance
You accept this agreement by signing it electronically through the Project's contribution system (for example, CLA Assistant), by signing a digital or physical copy, or by any other method we specify. This agreement applies to every Contribution you submit after you accept it.
## 11. Changes to this agreement
We may update this agreement. Any update will be published in the Project's repository or on its website and will apply only to Contributions submitted after it takes effect. Where an update requires you to sign again, we will ask you to do so before we accept further Contributions.
## 12. General
This agreement is the entire agreement between you and the Licensor about your Contributions. If any part of it is found to be unenforceable, the rest remains in effect. It is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from it.
