Bahmni Contributor License Agreement
BAHMNI CONTRIBUTOR LICENSE AGREEMENT
OpenMRS, the non-profit home of the Bahmni Coalition, requests that You agree to this Contributor License Agreement for
Contributions You submit to the Bahmni Project. This Agreement protects You as a contributor as well as OpenMRS and the Bahmni
Project, it does not change Your rights to use Your Contributions for any other purpose.
By submitting your Contributions to the Bahmni Project and/or OpenMRS, You hereby agree to the terms and conditions of this
Contributor License Agreement.
0. Definitions
“Agreement” shall mean this Contributor License Agreement.
"You" (or "Your") shall mean the copyright owner or legal entity authorized by the copyright owner that is making this
Agreement. For legal entities, the entity making the Contribution(s) and all other entities that control, are controlled by,
or are under common control with that entity are considered to be a single entity. For the purposes of this definition,
“control” means (i) the power, direct or indirect, to cause the direction or management of such entity, whether by contract or
otherwise, or (ii) ownership of 50% or more of the outstanding shares of such entity, or (iii) beneficial ownership of such
entity.
“OpenMRS” shall mean OpenMRS Inc., the non-profit home of the Bahmni Coalition that curates the intellectual property rights
associated with the Bahmni Project.
“Project” shall mean the Bahmni Project.
"Contribution" shall mean any work of authorship, including any software, bug fixes, configuration changes, documentation, or
other materials, intentionally submitted by You to OpenMRS for inclusion in the Project. For the purposes of this definition,
"submitted" means any form of electronic, verbal, or written communication sent to OpenMRS or its representatives, including
but not limited to communication on electronic mailing lists, source code control systems, and issue tracking systems that are
managed by, or on behalf of, OpenMRS for the purpose of discussing and improving the Project, but excluding communication that
is prominently marked in writing by You as "Not a Contribution."
“Source” form shall mean the preferred form for making modifications, including but not limited to software source code,
documentation source, and configuration files.
“Object” form shall mean any form resulting from mechanical transformation or translation of a Source form, including but not
limited to compiled object code, generated documentation, and conversions to other media types.
1. Intellectual Property License, Except for Patents.
Subject to the terms and conditions of this Agreement, You hereby grant to OpenMRS a non-exclusive, perpetual, worldwide,
no-charge, royalty-free, irrevocable, transferable, sublicenseable, relicenseable license under all of Your relevant copyright
and other intellectual property rights, except for patent rights, to use, copy, prepare derivative works of, distribute, sell,
publicly perform and publicly display Your Contribution(s), its derivative works and the Project in Source or Object form on
any licensing terms, including without limitation open source and commercial licensing terms.
2. Patent License.
Subject to the terms and conditions of this Agreement, You hereby grant to OpenMRS a non-exclusive, perpetual, worldwide,
no-charge, royalty-free, irrevocable (except as stated in this section), transferable, sublicenseable license under all of
Your relevant patent rights to make, have made, use, offer to sell, sell, import, and otherwise transfer Your Contribution(s)
and the Project, where such license applies only to those patent claims licensable by You that are necessarily infringed by
Your Contribution(s) alone or in combination with the Project.
3. Your Reservation of Rights.
Except for the licenses granted herein, You reserve all right, title, and interest in and to Your Contribution(s).
4. Your Representations
You represent that Your Contribution(s) are Your original works of authorship. You represent that You are legally entitled to
grant to OpenMRS the rights and licenses granted in this Agreement. If Your employer has rights to intellectual property that
You create, You represent that You have received permission to make the Contribution(s) on behalf of that employer, or that
Your employer has waived such rights for the Contribution(s) or that Your employer has executed a separate CLA with OpenMRS.
Alternatively, if any Contribution You submit requires any third party license or has any other restrictions, You represent
that the Contribution submission includes prominent and complete details of any third party license(s) or other restrictions
(including, but not limited to, related patents and trademarks) of which You have knowledge and which are associated with any
portion of the Contribution.
You agree to notify OpenMRS of any facts or circumstances of which You become aware that would make these representations
inaccurate in any respect.
5. OpenMRS Commitment.
OpenMRS and the Bahmni Coalition commit to You that the main version of the Project will be licensed under an open source
license, currently the GNU Affero General Public License, Version 3. OpenMRS and the Bahmni Coalition further commit that any
revenue generated from licensing the Project, or any portions thereof, will be invested in developing and supporting the main
open source licensed version of the Project.
6. No Implied Warranties.
Except as required by applicable law or as agreed to in writing, You provide Your Contribution on an "AS IS" BASIS, WITHOUT
WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS
OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
7. Support.
You are not expected to provide support for Your Contribution, except to the extent You desire to provide support. You may
provide support for free, for a fee, or not at all.
